• "Client" or "you" refers to any individual or organisation accessing this website or engaging Parallax for services.
• "Services" refers to AI process integration, language model implementation, predictive analytics consulting, and any related advisory or technical work delivered by Parallax.
• "Agreement" means these Terms and Conditions together with any written service agreement or proposal accepted by both parties.
• "Content" means materials, documentation, code, reports, or outputs produced in the course of delivering the Services.

2. Acceptance of Terms

Access to this website and engagement with Parallax Services constitutes your unconditional acceptance of this Agreement. If you do not agree with any part of these terms, please discontinue use of this website immediately.

You represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements in your jurisdiction. If you are engaging on behalf of an organisation, you confirm you have authority to bind that organisation to this Agreement.

3. Service Description

Parallax provides professional AI consultancy services to organisations based in or operating within Hong Kong and the wider Asia-Pacific region. Core service areas include:

• AI process mapping and workflow integration
• Custom language model fine-tuning and deployment
• Predictive analytics implementation and monitoring
• Strategic AI advisory and governance support

Service availability, scope, and timelines are determined on a per-engagement basis and documented in written proposals or service agreements. Parallax does not guarantee uninterrupted access to website content at all times, as periodic maintenance may occur.

4. User Responsibilities

When interacting with this website or engaging our Services, you agree to:

• Provide accurate, complete, and up-to-date information when submitting enquiry forms or entering service agreements
• Use this website and our Services only for lawful purposes consistent with applicable Hong Kong law
• Refrain from attempting to gain unauthorised access to any part of our systems or infrastructure

You may not sublicense, resell, or use Parallax-produced work as the basis for a competing service offering without prior written consent. Any feedback or suggestions provided to Parallax may be incorporated into our Services without obligation or compensation.

6. Payment Terms

All fees are quoted and payable in Hong Kong Dollars (HKD) unless otherwise specified in a service agreement. Payment terms, milestones, and methods are outlined in individual service proposals.

• Standard terms require a deposit prior to commencement of work, with the balance due upon delivery unless otherwise agreed
• Invoices not settled within 30 days of the due date may be subject to a late payment charge of 1.5% per month
• Parallax reserves the right to suspend active work if payment obligations are not met
• Refund eligibility is assessed case-by-case; pre-commencement deposits are generally non-refundable if work has been scoped

7. Service-Specific Terms

For professional consulting engagements, the following apply:

• Scope changes: Any material changes to agreed project scope will be documented via a written change request and may affect timelines and fees
• Confidentiality: Both parties agree to treat non-public information shared during an engagement as confidential and not disclose it to third parties without written consent
• Timelines: Estimated timelines are provided in good faith. Delays caused by client-side factors (e.g., delayed data provision, approval delays) will adjust project timelines accordingly
• Acceptance: Deliverables are considered accepted unless written objection is raised within 10 business days of delivery

8. Disclaimers

Parallax provides Services and website content on an "as is" basis. While we apply professional judgement and industry standards, we do not warrant that:

• AI systems or recommendations will produce any specific commercial outcome
• Website content is free from inaccuracies or errors at all times
• Services will meet every requirement not explicitly documented in a service agreement

AI and machine learning outcomes are probabilistic in nature. Clients should apply independent judgement when acting on AI-generated insights. Nothing on this website constitutes legal, financial, or regulatory advice.

9. Limitation of Liability

To the fullest extent permitted by Hong Kong law, Parallax's aggregate liability to you arising from or related to Services or use of this website shall not exceed the total fees paid to Parallax in the three months preceding the event giving rise to the claim.

Parallax shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profit, loss of data, or loss of business opportunity, even if advised of the possibility of such damages. Some jurisdictions may not permit certain exclusions; in such cases limitations apply to the maximum extent permitted.

10. Indemnification

You agree to indemnify, defend, and hold harmless Parallax, its directors, employees, and contractors from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your breach of this Agreement, your misuse of Services, or your infringement of any third-party rights.

11. Termination

Either party may terminate an active service engagement with 14 calendar days' written notice, subject to payment for work completed to date. Parallax reserves the right to terminate immediately where a Client materially breaches this Agreement, fails to meet payment obligations, or engages in conduct that is unlawful or harmful.

Upon termination, provisions relating to intellectual property, confidentiality, limitation of liability, and dispute resolution shall survive.

12. Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of Hong Kong Special Administrative Region. The parties agree to attempt informal resolution of any dispute within 30 days before pursuing formal proceedings.

If informal resolution fails, disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR. Arbitration may be agreed upon by mutual written consent as an alternative to court proceedings.

13. General Provisions

• Entire Agreement: These Terms, together with any executed service agreement, constitute the entire agreement between the parties regarding the subject matter herein
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force
• Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement rights
• Assignment: You may not assign your rights under this Agreement without Parallax's prior written consent
• Notices: Formal notices should be sent in writing to the contact details provided below

14. Changes to Terms

Parallax may update these Terms periodically. Material changes will be communicated via this website, and the "Last Updated" date will be revised accordingly. Continued use of our website or Services after the effective date of changes constitutes acceptance of the revised Terms. We encourage periodic review of this page.
